Agreement to Terms

Welcome to Mothership! These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Mothership ("we," "us," or "our") regarding your use of our website (www.welcometomothership.com) and services.

By accessing or using Mothership's website or services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our website or services.

1. Description of Services

Mothership is a social club for mothers in Los Angeles, California. We provide:

  • Community membership for mothers seeking connection and support

  • Access to curated events, experiences, and activities

  • Multi-day trips and getaways

  • A members-only platform for event discovery and ticket purchasing

Our services are exclusively available to registered, paid members, except for public-facing homepage content.

 

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years of age to use Mothership's services. By using our services, you represent that you are 18 or older.

2.2 Geographic Limitation

Mothership services are currently only available to residents of the Los Angeles, California area. We do not operate internationally.

2.3 Account Registration

To access Mothership's services beyond the homepage, you must:

  1. Complete our registration form with accurate information

  2. Create a user account with login credentials

  3. Pay applicable membership dues by the stated payment deadline

  4. Agree to our Code of Conduct

2.4 Account Accuracy

You agree to:

  • Provide accurate, current, and complete information during registration

  • Update your information promptly if it changes

  • Maintain the security and confidentiality of your login credentials

  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

2.5 One Account Per Person

Each membership and account is personal to you and may not be shared, transferred, or assigned to another person.

 

3. Membership and Access

3.1 Membership Required

Access to Mothership's calendar, event details, ticket purchasing, and member areas requires an active, paid membership.

3.2 Membership Fees

  • Membership fees are non-refundable

  • Fees must be paid by the deadline specified during registration

  • Memberships do not auto-renew; you must actively renew at the end of your membership cycle

  • Failure to pay membership fees may result in account suspension or termination

3.3 Public vs. Member Content

  • Public Access: General homepage information is available to all visitors

  • Member-Only Access: Calendar, event details, ticket purchasing, and all other content require active membership

 

4. Payment Terms

4.1 Accepted Payment Methods

We accept the following payment methods through Wix Payments:

  • Credit cards (Visa, Mastercard, American Express, Discover)

  • Apple Pay

4.2 Currency

All payments are processed in United States Dollars (USD).

4.3 Payment Processing

  • Membership fees are due at registration by the stated deadline

  • Event ticket payments are processed at the time of purchase

  • Trip and getaway payments are processed at the time of booking

4.4 Payment Authorization

By providing payment information, you:

  • Authorize us to charge the stated amount to your payment method

  • Represent that you are authorized to use the payment method provided

  • Agree to pay all applicable fees and charges

4.5 Failed Payments

If a payment fails:

  • Your membership or event registration may be cancelled

  • You may be denied access to member-only areas

  • You remain responsible for any amounts owed

4.6 No Refunds on Memberships

All membership fees are non-refundable. See our Refund and Cancellation Policy for details on event ticket and trip refunds.

 

5. Code of Conduct

All Mothership members must adhere to our Code of Conduct, which you agreed to during registration. Violation of the Code of Conduct may result in immediate account termination without refund.

Expected behavior includes:

  • Treating all members, staff, and venue personnel with respect

  • Creating a safe, inclusive environment for all mothers

  • Respecting confidentiality and privacy of other members

  • Arriving on time and honoring event commitments

  • Following venue rules and guidelines

Prohibited behavior includes:

  • Harassment, discrimination, or bullying of any kind

  • Disruptive, threatening, or inappropriate behavior

  • Sharing member information without consent

  • Using the community for commercial solicitation without permission

  • Violating the rights of other members or Mothership

 

6. Acceptable Use of Website

6.1 Permitted Use

You may use our website solely for:

  • Paying membership dues

  • Purchasing event and trip tickets

  • Reviewing the calendar and event details

  • Managing your account and membership

6.2 Prohibited Activities

You agree NOT to:

  • Use the website for any unlawful purpose or in violation of these Terms

  • Attempt to gain unauthorized access to any part of the website, other accounts, or connected systems

  • Interfere with or disrupt the website's functionality or security

  • Use automated systems (bots, scrapers, crawlers) to access or collect data from the website

  • Copy, reproduce, distribute, or create derivative works from our content without permission

  • Impersonate another person or entity

  • Upload or transmit viruses, malware, or harmful code

  • Harass, threaten, or harm other users

  • Collect or store personal information about other users

  • Attempt to reverse engineer or decompile any part of the website

  • Use the website in any way that could damage our reputation or business

6.3 Consequences of Prohibited Use

Violation of these acceptable use provisions may result in:

  • Immediate suspension or termination of your account

  • Forfeiture of membership fees (no refund)

  • Legal action to recover damages

  • Reporting to law enforcement if illegal activity is suspected

 

7. Intellectual Property Rights

7.1 Mothership's Ownership

All content on the Mothership website, including but not limited to:

  • Text, graphics, logos, images, photographs

  • Website design, layout, and user interface

  • Event descriptions and materials

  • The "Mothership" name, logo, and branding

  • Software, code, and functionality

...is the exclusive property of Mothership and is protected by United States and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the website for its intended purpose as a Mothership member. This license does not include any right to:

  • Download or copy content (except for personal, non-commercial use)

  • Use our branding, logos, or trademarks

  • Modify, distribute, or create derivative works

  • Use our content for commercial purposes

7.3 User-Submitted Content

Currently, Mothership does not permit users to submit content (reviews, comments, photos, etc.) to our website. If this changes, we will update these Terms accordingly.

7.4 Trademark Notice

"Mothership" and associated logos are trademarks or registered trademarks of Mothership. Unauthorized use is prohibited.

 

8. Third-Party Services

8.1 Platform and Payment Providers

Our website is hosted on Wix.com and payments are processed through Wix Payments. Your use of these services is also governed by their respective terms of service and privacy policies:

We use Google Forms for member registration. Your use of Google Forms is governed by Google's Terms of Service and Privacy Policy:

8.3 Event Venues and Third-Party Vendors

Mothership events may be held at third-party venues or involve third-party service providers (instructors, facilitators, transportation, accommodations). While we carefully select our partners, we are not responsible for their actions, services, or any injuries or damages that may occur at their locations or through their services.

You may be required to sign additional waivers or agreements with third-party venues or providers.

 

9. Disclaimers and Limitations of Liability

9.1 "AS IS" Disclaimer

THE MOTHERSHIP WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose

  • Warranties of accuracy, reliability, or completeness of content

  • Warranties of uninterrupted or error-free service

  • Warranties that the website is free from viruses or harmful components

9.2 Service Availability

We do not guarantee that:

  • The website will always be available or accessible

  • Services will be uninterrupted, timely, or error-free

  • Any defects or errors will be corrected

  • The website or servers are free from viruses or harmful components

9.3 Event Disclaimer

9.4 Assumption of Risk

By participating in Mothership events, you acknowledge and assume the risks associated with:

  • Physical activities and exercise

  • Travel and transportation

  • Interaction with other members and third parties

  • Consumption of food and beverages

  • Use of third-party facilities

You participate in all Mothership events and activities at your own risk.

9.5 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, MOTHERSHIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or use

  • Personal injury or property damage

  • Damages arising from your use or inability to use our services

  • Damages arising from third-party conduct, content, or services

  • Damages exceeding the amount you paid to Mothership in the 12 months preceding the claim

This limitation applies whether the claim is based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

9.6 California Law

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

 

10. Indemnification

You agree to indemnify, defend, and hold harmless Mothership, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms

  • Your violation of any law or regulation

  • Your violation of the rights of any third party

  • Your use or misuse of the website or services

  • Your participation in Mothership events

  • Any content you submit or transmit (if applicable)

  • Your breach of the Code of Conduct

This indemnification obligation will survive termination of these Terms.

 

11. Dispute Resolution

11.1 Governing Law

These Terms and any disputes arising from or relating to these Terms or your use of Mothership's services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

11.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Mothership's services shall be resolved through binding arbitration rather than in court, except that:

  1. You may assert claims in small claims court if your claims qualify

  2. Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights

Arbitration Process:

  • Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA)

  • The arbitration shall take place in Los Angeles, California

  • Each party shall bear their own costs and attorneys' fees, unless the arbitrator awards costs to the prevailing party

  • The arbitrator's decision shall be final and binding

Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND MOTHERSHIP INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.3 Informal Resolution

Before initiating arbitration, you agree to first contact us at hello@welcometomothership.com to attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any concerns.

11.4 Jurisdiction and Venue

If arbitration does not apply or is found unenforceable, you agree that any legal action shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

 

12. Account Termination and Suspension

12.1 Termination by Mothership

We reserve the right to suspend or terminate your account and access to services, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our Code of Conduct

  • Fraudulent or illegal activity

  • Providing false or misleading information

  • Harassment of members, staff, or venue personnel

  • Non-payment of fees

  • Conduct that harms or could harm Mothership's reputation or business

  • Any behavior we deem inappropriate or disruptive

12.2 Effect of Termination

Upon termination:

  • Your access to the website and member-only areas will be immediately revoked

  • You forfeit any remaining membership term (no refund)

  • You may be barred from future re-registration

  • Any scheduled event or trip reservations may be cancelled (subject to refund policy)

  • Your obligation to pay any outstanding fees continues

12.3 Termination by You

You may request to close your account at any time by contacting hello@welcometomothership.com. However:

  • Membership fees are non-refundable

  • You remain responsible for any outstanding fees or obligations

  • Event and trip cancellations are subject to our Refund and Cancellation Policy

12.4 Survival

Provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution) shall survive termination.

 

13. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Modifications to Terms

14.1 Right to Modify

Mothership reserves the right to modify, amend, or update these Terms at any time, at our sole discretion.

14.2 Notice of Changes

  • Significant changes may be communicated via email or prominent website notice

  • Continued use of our services after changes constitutes acceptance of the modified Terms

14.3 Your Responsibility

You are responsible for reviewing these Terms periodically. If you do not agree to modified Terms, you must discontinue use of our services.

 

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund and Cancellation Policy, and Code of Conduct, constitute the entire agreement between you and Mothership regarding your use of our services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Mothership.

15.4 Assignment

You may not assign or transfer these Terms or your account to any other person. Mothership may assign these Terms or delegate any of its obligations without restriction.

15.5 Force Majeure

Mothership shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government restrictions, pandemics, or failures of third-party services.

15.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Mothership.

15.7 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.
